Shady Acres Civic Association By-Laws
 
Article I - Name
 
The name of the organization shall be Shady Acres Civic Club.
 
Article II - Boundaries
 
The Shady Acres Civic Club is bounded by properties on the north side of 26th Street east of Couch and on the north side of 27th street west of Couch; on the east by a line approximately 575' west of North Durham Drive separating the 800's from the 900 addresses; on the south by a line in the center of 15th Street east of Bevis and by properties south of 21st Street west of Bevis; and on the west by a line approximately 725' west of Ella north of 21st Street and by a line approximately 150' east of Bevis south of 21st Street.
 
Article III - Purpose
 
The purpose of the organization shall be to enhance the quality of life for residents, to enhance the quality of residential and commercial property, to enhance and protect property values in the community which this organization represents, and to promote the civic and social welfare in the area defined in Article II.
 
Article IV - Membership
 
Membership in this organization shall be open to all individuals over 18 years of age who reside in or who own a business or property within the boundaries described in
Article II, contingent upon payment of dues, as set forth in Article X.  Any individual who lives outside the boundaries described in Article II may become an associate non-voting member.
 
Article V - Officers
 
The Officers of the organization shall be a president, a vice-president of membership
communications, a vice president of projects, a secretary, and a treasurer.
 
Section 1. The president shall preside over all general meetings and any executive committee meetings. The president shall have the authority to conduct meetings and to maintain order. The president shall appoint all committee chairs.
 
Section 2. The vice-presidents shall preside over general meetings and standing committees in the absence of the president. These officers shall assist the president and shall perform the various duties necessary to direct and serve the standing committees.
 
Section 3. The secretary shall keep an accurate record of proceedings of all general meetings, attend to correspondence, act as custodian of current records and file and maintain up-to-date membership lists and attendance records. The secretary shall also review and attend to all incoming and outgoing correspondence of the organization.
 
Section 4. The treasurer shall keep an up-to-date record of all financial transactions,receive all money and deposit funds in the bank. This officer shall disburse money as authorized by the membership. The treasurer shall present a report of finances at each general meeting of the organization.

Section 5. All officers of the organization shall be elected annually at the regular December meeting by a quorum of those members present of the organization.  Officers shall be installed at the first general meeting in January, and shall hold office for one (1) year.

Section 6. A vacancy in an office shall be filled by an appointment by the executive committee. However, if there is a vacated president position, the vice president of projects will be pro-tem until the next regular installation of officers.  Officers appointed or elected to fill vacancies shall assume office at the first general meeting following the special election and shall hold office until the next regular installation of officers.
 
Section 8. Any officer, who fails to meet the obligations and responsibilities of his/her office may be removed from office by a two-thirds (2/3) majority vote of the membership present.
 
Article VI - Executive Committee
 
Section 1. The executive committee of the organization shall be comprised of the officers of the organization  and standing committee chairs.
 
Section 2. The president of the organization shall be the chairperson of the executive committee.
 
Section 3. The function of the executive committee shall be to set policies, evaluate projects and to act on behalf of the organization in between meetings.
 
Section 4. The executive committee shall meet once a month,one week prior to the general meeting of the organization; special meetings may be called by the president or by three (3) members of the executive committee.
 
Article VII - Standing Committees
 
The standing committees of this organization shall be Membership Communications
and Projects. Sub-Committees will be organized within each of these standing committees as need requires and volunteers are available:
Membership Communications Standing Committee:
1. Webpage
2. Membership recruitment (residential and business)
3. Newsletter and Publicity
4. Invited Speakers
5. Community events and special fund raising
Projects Standing Committee:
1. Pot hole, Graffiti and Street Light
2. Block Captains
3. Citizens on Patrol
4. Parks and Public Lands Improvement
 
Section 1. All standing committee chairpersons shall be appointed by the president, or the vice-president in his/her absence. The committee chairperson shall in turn appoint at least two additional members.
 
Article VIII - Special Committees
 
Special committees shall be established as the need arises, such as By-Laws and Special Projects. Chairpersons of these committees shall be appointed by the president, or the vice-president in his/her absence.  Committee members shall be appointed by the committee chairperson.  Should Shady Acres become part of a Super Neighborhood, the civic club shall appoint a representative and/or alternatives to represent the civic club as part of the Super Neighborhood.

Article IX - Meetings
 
The general meetings of the organization shall be held on the third Tuesday of a minimumof every quarterly at the hour of 7:00 p.m., in a place to be designated by the
executive committee.
 
Section 1. In the event that the general meeting falls on a legal holiday, the time and date of the general meeting shall be set by the president at the preceding general meeting - with the consent of the membership present.
 
Section 2. One-twelfth of the dues paying membership shall constitute a quorum for the transaction of business at a general meeting.
 
Article X - Dues
 
Annual dues are current from January 1 to December 31 of each calendar year.
 
Section 1. Dues shall be:
$10.00 for senior individuals and families (over 60 years of age)
$25.00 for individuals (one person) non-senior membership
$35.00 for a family membership
$100.00 for a business silver membership (SACC newsletter business card ad)
$200.00 for a business gold membership (SACC newsletter business card ad & website ad)
 
Article XI - Procedure
 
"Robert's Rule of Order" shall be authorized for procedure in all points of order not covered by these by-laws.
 
Article XII - Amendments
 
These by-laws may be amended at any regular meeting of the organization provided that amendments have been submitted in writing by the by-laws special committee at the previous regular meeting. The adoption of the amendment shall require a two-thirds (2/3) vote in the affirmative of the members present.
